JCRW Bylaws

JACKSON COUNTY REPUBLICAN WOMEN BYLAWS

 (Amended 10/11/18)


ARTICLE 1 – Name

The name of this club shall be Jackson County Republican Women (hereinafter referred to as JCRW).


ARTICLE 11 – Objectives

The objectives of this club shall be:

  • Increase the effectiveness of women in the cause of good government;

  • Promote an informed public through political education and activity;

  • Foster loyalty to the Republican Party at all levels of government;

  • Promote the principles of the Republican Party;

  • Work for Republican candidates in all elections, (except when there are multiple Republicans candidates running for the same office) including non-partisan elections;

  • Support the objectives and policies of the Oregon Republican Party and the Republican National Committee.

  • Support the objectives and goals of NFRW and OFRW


ARTICLE 111 – Membership

SECTION 1:  Any Republican woman believing in the principles of the Republican Party and intending to support its candidates is eligible for membership.

SECTION 11:  Any Republican man or a member in good standing of another club may become an associate member by paying annual associate dues.  Associate members are not eligible to vote, nominate, or hold office. 

SECTION 111:  JCRW shall be a member of National Federation of Republican Women and Oregon Federation of Republican Women.

SECTION IV:  An individual member may be removed from membership by a 2/3 vote of the Executive Committee for the following reasons:

  1. Non-payment of dues.

  2. Supporting a candidate of any opposing party.

  3. Failure to support the bylaws of the NFRW, OFRW, or JCRW.

  4. For conduct subject to disciplinary action for offenses tending to injure the good name of the organization or another member, or behavior that disturbs the organization’s wellbeing or hampers it in its work.  A member so removed for offenses listed in B, C, or D shall not be reinstated.


ARTICLE 1V 

OFFICERS, EXECUTIVE COMMITTEE, AND BOARD OF DIRECTORS

SECTION 1:   OFFICERS:

The officers of JCRW shall be President, First Vice-President, Second Vice-President, Secretary, and Treasurer.

SECTION 11:  DUTIES OF OFFICERS

  1. The President shall preside at all meetings of JCRW, of the Executive Committee and of the Board of Directors and shall have general supervision of the work of the club. The President shall appoint all chairs of standing committees, subject to the approval of the Executive Committee.  The President shall represent JCRW at meetings of the OFRW and NFRW, or when unable to do so, will designate a club member as her proxy.  The President shall sign legal documents with the Secretary and shall sign checks with the Treasurer or Secretary. The President votes on issues only in the situation of a tie vote.  The President shall appoint a Parliamentarian to serve during her term of office.

  2. The First Vice-President, in the absence of the President shall perform the duties of the President. The First-Vice President shall be responsible for monthly program arrangements with standing committee program and publicity chairs, subject to the approval of the Executive Committee.

  3. The Second Vice-President, in the absence of the President and the First Vice-President shall perform the duties of the President.  The Second Vice-President shall be in charge of arrangements for meetings subject to the approval of the Executive Committee.  Arrangements shall include venue and reservations should they be necessary, subject to the approval of the Executive Committee.  The Second Vice President shall work with the Treasurer for reservations on all JCRW events and work with the Ways and Means Chairmen for all events.  

  4. The Secretary shall keep the minutes of all club meetings, of the Executive Committee, and the Board of Directors. The Secretary shall sign legal documents with the President and shall be authorized to be the second signature on the checks in the absence of the Treasurer or the President subject to the approval of the Executive Committee.  The Secretary shall maintain all of the Club Lists including Membership, email lists and potential member lists and coordinate with the Membership Chairman.

  5. The Treasurer shall keep an accurate account of all receipts and disbursements.  Annual dues shall be collected by the Treasurer.  Two signatures are required to withdraw funds.  In addition to the Treasurer, the cosigners will be the President or in the absence of the President the Secretary.  All moneys received shall be deposited by the Treasurer in a Banking Institution approved by the Executive Committee.  The Treasurer shall keep a copy of the current roster of the membership and send per capita report and dues to the OFRW Treasurer.  The Treasurer shall work with the Second Vice-President for reservations on all JCRW events.

  6. The Parliamentarian shall attend the Executive Committee meetings as a non- voting member, and the Board of Directors and General meetings as a voting member.  The Parliamentarian must be a JCRW member in good standing.

SECTION 111:  EXECUTIVE COMMITTEE

  1. The Executive Committee shall consist of the elected officers and the Immediate Past President.

  2. All members of the Executive Committee shall provide a summation and sample of all activities at the end of the term of office to the sitting president to be retained for future reference.   

SECTION 1V:  DUTIES OF THE EXECUTIVE COMMITTEE

The Executive Committee shall have the authority to transact any necessary business between general meetings, make recommendations as to the policies of the club, advise the President and fill vacancies that occur between elections.  All recommendations of the Committee shall be presented at the next regular meeting of the club.                

SECTION V:  BOARD OF DIRECTORS

The Board of Directors shall consist of the Executive Committee and the standing committee chairs.  The duties of the Board shall be to discuss the proposed business of the club which shall then be presented at the next general meeting of JCRW.

SECTION V1:  TERMS OF OFFICE

Officers shall be elected for a term of two years, and no officer shall serve more than two consecutive terms in the same office.  The term of office shall be from January 1 following election through December 31st two years hence, or until their successors take office, regardless of when the installation takes place.

SECTION VII:  ELIGIBILITY

All elected and appointed officials shall be paid members in good standing of JCRW for 6 months prior to nomination.

SECTION VIII: VACANCIES

Following the written resignation of an elected officer, the President and the Executive Committee shall assign the duties of the office to a qualified JCRW member.  If such appointment creates a vacancy, the vacancy shall be filled by election by the Executive Committee.


ARTICLE V 

MEETINGS

SECTION 1.  Regular meetings of JCRW shall be held each month unless otherwise determined by the Board of Directors.  No less than seven (7) meetings are required to meet OFRW guidelines.

SECTION 2.  Special meetings shall be held at the call of the President upon request of five members.  The purpose of the meeting shall be stated in the call and no other business shall be transacted.

SECTION 3.  Special meetings of the Executive Committee may be called by the President or upon written request of three members of the Executive Committee.  The purpose of the meeting shall be stated in the call and no other business shall be transacted.


ARTICLE VI 

DUES

SECTION 1.  Membership dues shall be the amount of national and state dues plus an amount to be determined by JCRW prior to the October meeting each year, payable January 1st.

SECTION 2.  This unit shall also pay the annual fee required to receive education programs from NFRW and the annual service charge required to receive newsletters from OFRW.

       SECTION 3.  The fiscal year of JCRW shall be from January 1 to December 31.


ARTICLE VII – NOMINATIONS AND ELECTIONS

SECTION I:

  1. A nominating committee chair shall be elected by and from the Executive Committee and an additional two members elected by and from the Board of Directors or the membership at large.

  2. The chair of the nominating committee shall serve as an ex-officio member of the Board of Directors.

  3. The nominating committee shall report one nominee for each office at the October meeting prior to the biennial election of officers.

  4. Nominations may be made from the floor at the November meeting if consent to serve has be obtained from the potential nominee.

  5. Each nominee for office shall submit a written biography and summary of qualifications for each designated position to the nominating committee and their consent to be nominated.  The same rules apply to those nominated from the floor.

SECTION 2:

        Elections shall be held in November.  Where there is only one candidate for an office, elections may be made by a voice vote.  Where there is more than one candidate for an office the vote will be made by secret ballot.

SECTION 3:     Installation of officers shall be held at the December meeting.


ARTICLE V111 - COMMITTEES

SECTION 1:     The standing committees shall include:

  5. Chaplain

  6. Ways and Means*

  7. Historian

  8. Legislation and Research*

  9. Mamie Eisenhower Library Project and Barbara Bush Literacy Committee

  10. Membership*

  11. Newsletter

  12. Program*

  13. Protocol and Hospitality

  14. Public Relations and Publicity*

  15. Corresponding Secretary

SECTION 2:  The duties of the standing committees shall include those duties set forth by NFRW and OFRW.

SECTION 3:  Special committees may be appointed by the President as deemed advisable.

SECTION 4:  REPORTS

 All committees shall report to the club at regular meetings when requested to do so by the President.  A final report shall be submitted at the end of the term of office, and all pertinent materials shall be turned over to the incoming President. 


ARTICLE 1X – QUORUM

SECTION 1:  A quorum for any vote held at a monthly meeting of the club shall consist of 20% of the membership including the President or her proxy and the Secretary or her proxy.

SECTION 2:  A quorum for the Board of Directors shall be a majority of appointed Standing Committee Chairmen, including at least three (3) members of the Executive Committee.

 SECTION 3: A quorum for the Executive Committee shall include at least four (4) members.


ARTICLE X – DISSOLUTION

In the event the club is dissolved for any reason, after paying or adequately providing for debts and obligations of the club, the remaining assets and charter shall be given to OFRW in accordance to its bylaws stipulation.


ARTICLE XI – BYLAWS AND AMENDMENTS

SECTION 1: The Bylaws chairman is responsible for annual review of JCRW bylaws to ensure that they are consistent with those of OFRW and NFRW.

SECTION 2:  The Bylaws Committee shall submit proposed changes to the Executive Committee for approval prior to their submission to the membership.  Bylaws may be amended by a 2/3 vote at a monthly meeting, provided that previous notice shall have been given at least 30 days prior to the date of such meeting or at the previous meeting.    

SECTION 3:  When amendment of these bylaws become necessary by action of NFRW or OFRW, the bylaws committee is authorized to conform these bylaws in accordance therewith, and such amendments shall have the same force and effect as if adopted by the members of the club in accordance with section 2 of this article.


ARICLE X11 – PARLIAMENTARY AUTHORITY

Roberts Rules of Order “In Brief by Decapo Press” 2011 version shall be the authority on all cases of parliamentary law, unless in conflict with these Bylaws, the NFRW Bylaws or the OFRW Bylaws
